BRIEF PROMOTION OVERVIEW: The SUBWAY Footlong Nation Appreciation™ Sweepstakes & Instant Win Game (the “Promotion”) starts 2/1/12 at 12:00 A.M., ET and ends 3/11/12 at 11:59:59 P.M., ET (“Promotion Period”). The Promotion consists of an on-line Instant Win Game (“Game”) and a Free Subs for Life Grand Prize Sweepstakes (“Sweepstakes”). Participants can enter the Promotion by submitting a SUBWAY^® brand code (“Code[s]”) which can be obtained either by purchasing a specially marked 30 oz. fountain drink, a specially marked bag of DORITOS^® Nacho Cheese flavor chips or by various other means, including free codes that do not require a purchase (“Complimentary Codes”), as is described in Rule 6(C) below. A participant (“Participant”) is an eligible individual, as stated in Rule 2 below, who has properly registered to enter the Promotion and plays the Game and receives Sweepstakes entries. A Participant is limited to using only one email address throughout the Promotion Period regardless of method of entry or method of participation. There are two (2) methods of entry by which Participants may participate in the Promotion, either: (a) online or (b) by a mobile device with Internet access capability (“Mobile Device”). Data Rates May Apply and be incurred with participation by Mobile Device. Regardless of method of participation, Participants are limited to playing the Game, i.e. entering a Code a maximum of three (3) times each day during the Promotion Period. Limit: As further described in Rule 7 below, Participants who win Game Prizes (“Game Prize Winners”) will be able to win Prizes from the same or different Prize categories depending on the Codes they use to play the Game. A Game Prize Winner is eligible to win the Sweepstakes.
ELIGIBILITY: The Promotion is open only to legal residents of the fifty (50) United States or District of Columbia who are at least 13 years old as of the date of registration. Officers, directors and employees of the Subway Franchisee Advertising Fund Trust Ltd., Franchise World Headquarters, LLC., SUBWAY^® restaurants, Doctor’s Associates Inc., their advertising, web design, and promotion agencies, including PrizeLogic LLC (“PrizeLogic” or “Administrator”), Frito-Lay North America, Inc., The Coca Cola Company, Facebook, Inc., Twitter, Inc. and each of their respective parents, subsidiaries and affiliated companies, suppliers (all of the preceding to be collectively referred to as “Sponsor & Others”) and the members of each of their households and immediate family members (spouse, parents, siblings, children and “steps”) are not eligible to enter or win.
SPONSOR: The sole sponsor of the Promotion is Subway Franchisee Advertising Fund Trust Ltd., 325 Bic Drive, Milford, CT 06461 (“Sponsor”). The Administrator of the Promotion is PrizeLogic, 25200 Telegraph Road, Suite 405, Southfield, MI 48033.
HOW TO REGISTER: As stated above, the Promotion Period starts 2/1/12 at 12:00 A.M., ET and ends 3/11/12 at 11:59:59 P.M., ET. To enter, during the Promotion Period, a Participant must register either on-line or through his/her Mobile Device. Regardless of whether a Participant registers on-line or through his/her Mobile Device, s/he should go to http://www.subway.com (the “Website”), where s/he will be provided the option of registering to enter the Promotion using Facebook Connect^®. If a Participant chooses to register using Facebook Connect, s/he must provide his/her email address, password and permission for Facebook to access his/her basic information, e.g. his/her name, profile picture (if the Participant has one), gender, networks, user ID, list of friends, and other information Participant has shared with friends. A Participant will also be required to enter a Code. If a Participant is not a registered member of Facebook or if a Participant does not choose to register using Facebook Connect, a Participant can register by following the instructions to enter all of the requested required registration information, including his/her complete name and the Code s/he is using. (NOTE: As stated above, if a Participant enters via a Mobile Device, Data Rates May Apply. Participants should check their wireless customer pricing plan as carrier specific charges for mobile usage may apply. Participants are solely responsible for any such mobile data charges. Not all wireless carriers participate.) After a Participant has successfully registered, a Participant may enter each day during the Promotion Period by returning to the abovementioned Website and entering his/her email address and a Code, as further described in Rule 5 below. NOTE: A Participant may only register once to enter the Promotion regardless of either the email address used or method of registration or participation. Any attempt by a Participant to register more than once will result in his/her disqualification from participation in the Promotion. IMPORTANT: By registering to enter and participate in the Promotion, a Participant gives his/her express permission for Sponsor to use and display his/her photograph (or avatar), name, identity and other similar personal information as Sponsor deems necessary for the functionality of the Game and of the Promotion.
HOW THE GAME WORKS: A Participant may play the Game (“Game Play”) a maximum of three (3) Game Plays per calendar day each day during the Promotion Period regardless of his/her method of participation. A day is defined as a calendar day commencing at 12:00 A.M., ET and ending at 11:59:59 P.M., ET of that day. PrizeLogic’s computer is the official clock for this Game.
1. HOW TO PARTICIPATE: Regardless of method of participation, after a Participant has successfully registered, each day during the Promotion Period, s/he should go to http://www.subway.com, and enter his/her email address and a Code. While supplies last, a Participant will receive a cup Code each time Participant purchases a specially marked 30 oz. cup of a fountain beverage (“Cup Code”) or a DORITOS^® Nacho Cheese flavor chips code (“Chip Code”) each time a Participant purchases a specially marked bag of DORITOS^® Nacho Cheese flavor chips. Codes may also be obtained without purchase, as stated in Rule 6 below, including requesting and receiving free Complimentary Codes as further described in Rule 6(C). No Code may be used more than one (1) time throughout the Promotion Period regardless of the type of Code or method of participation. To play the Game, a Participant should follow the online instructions. A Participant will receive one (1) Game Play for each Code s/he submits. Each time a Participant submits a Code, s/he will also automatically receive one (1) entry into the Sweepstakes. In no event, regardless of the Code(s) a Participant submits, will a Participant receive or be allowed more than three (3) Game Plays or three (3) Sweepstakes entries per day. After a Participant has played the Game, a Participant will receive a message informing him/her of whether or not s/he has won a Game Prize, subject to verification, and the Game Prize s/he has won. A Participant who has been notified that s/he is a potential Game Prize Winner must provide his/her street address in compliance with the instructions stated in the notification message. Remember: Each time a Participant plays the Game, whether on-line or through Mobile Device, the Participant must enter a new Code to play the Game.
2. WINNING GAME PLAYS: In order for a Participant’s Game Play to be a potentially winning Game Play, it must have occurred either at the exact randomly predetermined winning time as determined by PrizeLogic, or if no Game Play has occurred at that exact time, it must be the Game Play that occurred at the closest time following the randomly predetermined winning time. All Game Prize Winners are subject to verification and compliance with these Official Rules as determined by PrizeLogic, whose decisions are final and binding in all matters pertaining to this Promotion. Participants should be sure to check their email because if they are a potential My Coke Rewards Points Game Prize Winner, they will receive an email informing the Participant how to claim his/her Game Prize. Participants should also check their spam filters routinely to assure that Game email messages have not been caught in their filters. IMPORTANT: As stated above, regardless of a Participant’s method of participation, all Codes may only be used once throughout the Promotion Period, a Participant may only enter three (3) Codes each day throughout the Promotion Period, and a Participant will not receive more than three (3) Game Plays per day each day during the Promotion Period.
HOW TO OBTAIN CODES: A Participant may obtain a Code as stated below.
1. CUP CODE: Visit a participating SUBWAY^® restaurant during the Promotion Period and purchase, while supplies last, a 30 oz. cup of a fountain drink that will contain a unique Code. Each Cup Code is valid for One (1) Game Play throughout the Promotion Period. See also Rule 6(C) below to obtain a Complimentary Code without purchase.
2. DORITOS^® NACHO CHEESE FLAVOR CHIPS BAG CODE: Visit a participating SUBWAY^® restaurant during the Promotion Period and purchase, while supplies last, a specially marked bag of DORITOS^® Nacho Cheese flavor Chips that will contain a unique Code. Each Chip Code is valid for one (1) Game Play throughout the Promotion Period. See also Rule 6(C) below to obtain a Complimentary Code without purchase.
3. COMPLIMENTARY CODE(S) WITHOUT A PURCHASE: To obtain Complimentary Codes without a purchase:
  1. Between 2/1/12 and 2/27/12, a Participant should legibly write his/her name, complete street address and valid email address on a properly stamped 3½” x 5” postal card and mail it, postmarked no later than 2/27/12, to: SUBWAY Footlong Nation Appreciation™ Complimentary Code Request, P.O. Box 251328, West Bloomfield, MI 48325, and three (3) Codes, i.e. three (3) Complimentary Codes, will be emailed back to the Participant that the Participant may use to play the Game during the Promotion Period. REGARDLESS OF WHEN CODES ARE EMAILED BACK, A PARTICIPANT MAY NOT ENTER OR USE THE CODES BEFORE 2/1/12. NOTE: Mail-in requests that are sent in an envelope rather than being written and sent on a properly stamped 3½”x 5” postal card will not be processed and will not be eligible to receive Complimentary Codes.
  2. Between 2/28/12 and 3/11/12 at 12:00 A.M., ET, to receive a Complimentary Code without a purchase, a Participant should go to nation.subway.com/amoe or click here and follow the instructions to request a Complimentary Code and three (3) Complimentary Codes will be emailed back to the Participant. Each Complimentary Code is valid for one (1) Game Play throughout the Promotion Period.
  3. In no event, will a Participant receive more than 120 Complimentary Codes throughout the Promotion Period regardless of the method of the Participant’s request.
4. SOCIAL MEDIA CODE: Look for SUBWAY^® brand messages either on-line or by Mobile Device at popular social media sites, and if a Participant has elected to receive social media messages on his/her Mobile Device, a Participant will receive new social media codes when they are posted (“Social Media Codes”), e.g. at http://twitter.com/SubwayFreshBuzz. A Social Media Code is valid for one (1) Game Play. NOTE Message and Data Rates May Apply. Each Social Media Code a Participant receives will be valid for one (1) Game Play throughout the Promotion Period.
5. BANNER ADS CODES: View SUBWAY^® banner ads either on http://www.subway.com or other web sites, if any, as designated by Sponsor to obtain additional Codes. Each Banner Ad Code is valid for one (1) Game Play throughout the Promotion Period.
6. EMAIL BLAST CODES: A Participant who has elected to receive promotional emails (“Email Blasts”) from Sponsor may receive Email Blasts throughout the Promotion Period. Each Email Blast Code is good for one (1) Game Play throughout the Promotion Period.
7. QUICK RESPONSE (“QR”) CODES: Look for QR Codes – they may appear anywhere at any time during the Promotion. To receive a QR Code, a Participant must use a QR Code reader application on his/her web-enabled Mobile Device to scan the QR Code displayed. The Participant will be routed to a webpage to submit his/her information to enter the Promotion. A “QR Code” is valid for one (1) Game Play; In order to scan a QR code, a Participant’s Mobile Device must have a QR Code reader installed. QR Code entry may be limited and may not be available through all wireless carriers. Data Rates May Apply. Participants should consult their wireless service provider regarding its pricing plans. Not all cellular Mobile Device providers carry the necessary service to participate. Each QR Code is valid for one (1) Game Play throughout the Promotion Period.
8. SUPPLEMENTARY CODES: Various types of Supplementary Codes may be offered throughout the Promotion Period; but, in no event, may a Participant enter more than a total of three (3) Codes per day regardless of the Code s/he enters.
9. FREE STANDING INSERT (“FSI”) CODE: On or around Sunday, 2/5/12, an FSI Code will appear in the SUBWAY^® restaurants’ advertisement in selected newspapers. An FSI Code is valid for one (1) Game Play throughout the Promotion Period.

GAME PRIZES: Game Prizes are described in the Tables in Rules 7(E) and 7(F) below.

CATEGORIES OF PRIZES: As described in the Table in Rule 7(E), there are two (2) different categories of Game Prizes available to be won. The Game Prize Category (“Prize Category”) a Participant qualifies for depends on the Code the Participant has submitted. NOTE: Although any Code may be used to qualify a Participant to be eligible to win a Category I Prize, only the use of a Cup Code, Chip Code or a Complimentary Code will allow a Participant to be eligible to win a Category II Prize.
LIMITS ON NUMBER AND TYPES OF GAME PRIZES: Neither a Participant nor any member of the Participant’s household may win more than a total of six (6) Game Prizes throughout the Promotion Period; and neither a Participant nor any member of his/her household is eligible to win more than one (1) Type of Prize, as such Game Prize Types are listed in the Table in Rule 7(E) below, throughout the Promotion Period.
GAME PRIZE WINNERS: Regardless of the Game Prize won, all costs and expenses not specifically included within the description of the Game Prize are solely each Game Prize Winner’s responsibility. All federal, state and local taxes are solely the responsibility of each Game Prize Winner. Sponsor reserves the right, in its sole discretion, to substitute a prize of equal or greater value if a Game Prize is unavailable. Game Prizes are not redeemable for cash, nor are they transferrable or substitutable except by Sponsor with one of equal or greater value. If a potential Game Prize Winner of a Type 1 – Type 5 Game Prize, is found to be ineligible, does not claim a Game Prize, declines to accept a Game Prize, Sponsor is unable to contact a potential Game Prize Winner, or in the event that a Game Prize confirmation or Game Prize is returned as undeliverable (all of the former to be collectively referred to as “Circumstances”) then the Game Prize will be forfeited and will not be re-awarded. However, should the same Circumstances occur regarding the award of a Type 6 Game Prize, i.e. a Game Prize with an approximate retail value of Twenty-Five Dollars ($25.00) or more, Sponsor may award such Game Prize in an Instant Win Second Chance Sweepstakes to be held on or about 4/30/12. Odds of winning a Game Prize in the Instant Win Second Chance Sweepstakes depend upon the number of Type 6 Game Prizes available to be awarded and the number of eligible Game participants. By accepting a Game Prize, Game Prize Winners consent to the use of their name, addresses, voices, and statements relating to the Game by Sponsor & or its designee(s), and photographs. videos or other likenesses, without further compensation, notification or permission in any publicity or advertising carried out by Sponsor or related entities in any and all media now known or hereinafter developed without territorial or time limitation, except where prohibited by law. Please allow up to six (6) weeks after the end of the Promotion Period for delivery of Game Prizes.
ODDS OF WINNING: The odds of winning a Game Prize depend on the total number of eligible entries received, the frequency of Game Play, and the date and time of Game Play.

To show Sponsor’s appreciation of Participants in the SUBWAY Footlong Nation Appreciation Promotion™, if -a total of 1,000,000 Codes is reached during t the Promotion Period, Sponsor will double the value, (i.e. the Approximate Retail Value) of each of the Game Prizes as stated in the Table below. For example, if a total of 1,000,000 Codes is reached on 2/29/11 at 11:59:59 P.M., Game Prize Winners who have submitted Codes prior to 2/29/11 at 11:59:59 P.M. will have the value of their Game Prizes doubled as will Game Prize Winners who have submitted Codes after 2/29/11 at 11:59:59 P.M. If a total of 1,000,000 Codes is not entered by 3/11/12 at 11:59:59 P.M., ET, Sponsor will NOT double the value of the Game Prizes and the value of the Game Prizes will be as stated in the Table in Rule 7(E) above. Please allow up to six (6) weeks after the end of the Promotion Period for delivery of Game Prizes, except for My Coke Rewards Points. SWEEPSTAKES: In addition to the Game, the Promotion also includes a Sweepstakes.
1. HOW TO ENTER: Each time a Participant enters a Code, s/he will automatically receive one (1) entry into the Sweepstakes (“Sweepstakes Entry (ies)”). Limit: A maximum of three (3) Sweepstakes Entries each day throughout the Promotion Period regardless of a Participant’s email address or method of participation.
2. SWEEPSTAKES RANDOM DRAWING: On or about 3/23/12, PrizeLogic will conduct a random drawing to select the one (1) potential winner (“Sweepstakes Winner”) from among all of the eligible Sweepstakes entries received during the Promotion Period, regardless of method of participation. The potential Sweepstakes Winner will be notified by email, telephone, and/or mail on or about 3/27/12. Participants should check their spam filters and voice mail routinely to assure that they receive prompt notice of important Sweepstakes messages.
3. SWEEPSTAKES PRIZE (1): The Sweepstakes Prize Sweepstakes Winner will receive SUBWAY^® Footlong™ Subs for Life. Approximate Retail Value (“ARV”) of the Sweepstakes Prize is $27,780 (Awarded as a check). ARV of the Sweepstakes Prize has been determined based on a winner aged 36 years old, a life expectancy of 80 years old, and an annual inflation rate of 3%. The actual age of the Sweepstakes Winner will have no effect in a determination of the value of the Sweepstakes Prize. The potential Sweepstakes Winner will be required to sign and return a notarized Affidavit of Eligibility/Compliance and Publicity/Liability Release, where allowed by law, and such other documents as may be reasonably requested by Sponsor. Failure by the potential Sweepstakes Winner to sign and return these documents within ten (10) business days may result in forfeiture of the entire Sweepstakes Prize, and the selection of an alternate potential Sweepstakes Winner from among eligible Sweepstakes Entries received throughout the Promotion Period. The Sweepstakes Winner will be issued a Form 1099 for tax purposes in the amount of the actual retail value of the Sweepstakes Prize and must submit his/her Social Security Number, as required by law. The Sweepstakes Winner is solely responsible for all federal, state and local taxes and any other costs and expenses not specifically included herein. Total Approximate Retail Value (“ARV”) of the Sweepstakes Prize is $27,780.00.
4. ODDS OF WINNING: The odds of winning the Sweepstakes depend upon the total number of all eligible Sweepstakes entries received in the Sweepstakes throughout the Promotion Period, regardless of method of participation.
5. NOTE: Sponsor reserves the right, in its sole discretion, to disqualify and randomly select an alternate potential Sweepstakes Winner in the event that: (a) the potential Sweepstakes Winner is unreachable; (b) the Sweepstakes Prize notification email or letter is returned as undeliverable or is not responded to within ten (10) business days; (c) the potential Sweepstakes Winner declines acceptance of the Sweepstakes Prize; (d) the potential Sweepstakes Winner has not returned the properly executed documents referenced above; or (e) if in Sponsor’s determination, the potential Sweepstakes Winner has not complied with these Official Rules. Sweepstakes Prizes are not transferable or substitutable except by Sponsor, in its sole discretion, with one of equal or greater value. In no event, will more than one (1) Sweepstakes Prize be awarded. A Game Prize Winner is eligible to win the Sweepstakes Prize. Sponsor will make no more than six (6) attempts to award the Sweepstakes Prize. If after six (6) such good faith attempts, Sponsor is unable to award the Sweepstakes Prize; the Sweepstakes Prize may not be awarded.

MISCELLANEOUS: The invalidity or unenforceability of any provision of these Official Rules or the prize documents will not affect the validity or enforceability of any other provision.
